These terms are the agreement between you and Aaron Girard, who runs General Manager (“General Manager”, “we”, “us”). General Manager is software for running a membership business: its members, plans, waivers, join links and calendar. “You” means you, the person using it, and the business you use it for. If you accept these terms for a business, you confirm that you’re allowed to agree to them for it.
By creating an account or using General Manager, you agree to these terms and to our Privacy policy. Your business keeps its members’ personal data with us, so our Data processing agreement is part of these terms too.
Some things described here, such as paying for Pro and taking member payments online, may not be available yet. These terms apply to each of them from the day it is.
1. Your account
- You must be 18 or older, and give us your real name and an email address you read.
- Keep your password to yourself. You’re responsible for what’s done with your account, and for the admins you invite to your business: every admin can see and change all of its data.
- If you think someone else has got into your account, change your password and tell us straight away at generalmanagersoftware@gmail.com.
2. Plans and prices
General Manager has three plans.
- Free costs $0. It includes 1 location, up to 50 active and paused members, and 1 admin. It doesn’t include taking your members’ payments online.
- Pro costs $39 a month for each location. It includes up to 10 locations, up to 2,500 active and paused members and any number of admins, and taking your members’ payments online, of which we keep nothing.
- Enterprise is for businesses beyond Pro’s limits. Its price and limits are agreed with us in writing, and it’s invoiced.
Cancelled members are kept on every plan and don’t count toward a limit. Prices are in US dollars and don’t include taxes, which may apply. The payment processor’s own fees on member payments are separate and are yours on every plan.
Paying for Pro
- Pro is paid monthly, in advance, by card or US bank account, through our payment processor, Stripe. You’re billed on the 1st of each month. Your first month is prorated: when you upgrade, you pay for the days left in it.
- Adding a location during a month costs nothing extra for that month. Its price starts with your next invoice, on the 1st. We show you the new monthly price before you add it.
- You can cancel at any time. You keep Pro until the end of the month you’ve paid for, then your business moves to Free. We don’t refund partial months.
- If a payment fails, we try again over the next 14 days, and you can update your payment method in that time. If it’s still unpaid 14 days after it failed, your business moves to Free.
- We may change Pro’s price. We’ll email your business’s admins at least 30 days before the first bill at the new price, so you can cancel first if you don’t want it.
Over a plan’s limits
If your business moves to a plan whose limits it’s over (after cancelling Pro, say), nothing is deleted and nothing that already works stops. You can still view, edit, pause and cancel everything. You can’t add locations, members or admins beyond the plan’s limits until you’re back within them or upgrade, and your join link is closed while you’re at or over the member limit.
Changes to the Free plan
We may change, limit or end the Free plan. Before we do, we’ll email your business’s admins at least 30 days ahead, so you have time to export your data or upgrade.
3. Inactive accounts
We delete accounts and businesses nobody uses, so we don’t keep personal data that’s no longer needed:
- A sign-up whose email address is never confirmed is deleted 7 days after it was made, without a warning (we can’t reach it).
- A confirmed account that never creates or joins a business is sent a warning after 14 days without signing in, and deleted 14 days after the warning.
- A business none of whose admins has signed in for 12 months is deleted, unless it’s on Pro or Enterprise (a Pro subscription that’s cancelled but not yet ended, or in its 14 days after a failed payment, counts as Pro). We email every admin 30 days and 7 days before, with a way to export its data.
Signing in before the deletion date cancels it. A business’s members’ records belong to the business and are deleted with it.
4. Your data and your responsibilities
- What your business puts into General Manager (its members’ details, plans, waivers, signatures, calendar and the rest) is yours. You let us store, process and show it only to provide General Manager to you, as the Data processing agreement says. We don’t sell it, and we don’t use it for anything else.
- You can export your business’s data and delete your business. Until you can do both from the app, ask us at generalmanagersoftware@gmail.com and we’ll do it for you.
- You’re responsible for having a lawful basis to collect your members’ data and to keep it with us, and for telling your members what you do with it.
- You’re responsible for your waiver: its wording, whether it suits your business, and whether it holds up where you are. General Manager stores it, shows it to the people who sign, and records who signed which version and when. It doesn’t give legal advice and can’t make a waiver valid, so get your own advice on it.
- You’re responsible, in the same way, for everything else you publish through General Manager: your join page, your calendar, and the emails we send to your members for you.
- We back up and protect your data (see the Privacy policy), but no system is perfect. Keep your own copy of anything you can’t afford to lose.
5. Acceptable use
Don’t use General Manager to:
- break the law, or collect or keep personal data you have no right to;
- store health records, payment card numbers, government ID numbers or other sensitive data in notes or anywhere else: General Manager isn’t built for them;
- send messages people haven’t asked for, such as waiver links to people who aren’t your members;
- pretend to be another business or person, or use your public pages for phishing or fraud;
- publish anything unlawful, hateful, harassing, sexually explicit, or that infringes someone else’s rights;
- get around a plan’s limits, our rate limits or our human check, or try to reach another business’s data;
- probe, attack, overload or copy the service, or sign up accounts with scripts or bots;
- resell General Manager without our written agreement.
6. Suspension and ending
- We may suspend your account, your business, or its public pages (its join page, waiver links and calendar) at once and without notice if we reasonably believe they’re being used for abuse, fraud or phishing, or in breach of these terms, or to protect other people or the service. Where we can, we’ll tell you why, and we’ll lift a suspension once the problem is resolved.
- We may close your account or your business for a serious or repeated breach of these terms.
- You can stop using General Manager at any time, and delete your business (see section 4). Any Pro subscription ends when the business is deleted, without a refund.
- When a business is deleted, its data is deleted as the Data processing agreement says.
7. The service
We work to keep General Manager running and your data safe, and we change it over time: we add, change and sometimes remove features. If we remove something your paid plan relies on, we’ll tell you ahead of time.
To the extent the law allows, General Manager is provided “as is” and “as available”, without warranties of any kind, express or implied, including that it will be uninterrupted or free of errors, or fit for a particular purpose. Stripe’s own terms apply to payments made through it.
8. Limit of liability
To the extent the law allows:
- We aren’t liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, however they arise.
- Our total liability for all claims about General Manager is limited to the greater of what your business paid us in the 12 months before the claim and US$100.
- You’ll cover us against claims from your members or anyone else that arise from your data, your waiver, what you publish through General Manager, or your breach of these terms.
Nothing in these terms limits liability that the law doesn’t allow to be limited.
9. Changes to these terms
We may update these terms, and the date at the top says when we last did. For a change that matters to you, such as one to your rights or to what you pay, we’ll email your business’s admins at least 30 days before it takes effect. If you keep using General Manager after a change takes effect, you accept it; if you don’t want it, stop before then and export your data.
10. Law and disputes
These terms are governed by the laws of California, without regard to its rules on conflicts of laws. Any dispute about them or about General Manager goes to the state or federal courts in California, and you and we both agree to those courts.
11. Everything else
- These terms, the Privacy policy and the Data processing agreement are the whole agreement between you and us about General Manager.
- If a court finds part of them unenforceable, the rest still applies.
- If we don’t enforce part of them at some point, we can still enforce it later.
- You can’t transfer this agreement without our written agreement. We can transfer it to whoever takes over General Manager, and the terms keep applying.
- We send notices by email to your account’s address, or your business’s admins’ addresses. Send notices to us at generalmanagersoftware@gmail.com.
